Board & Committees

Board of Directors:
Europtronic has 5 members serving as its Board of directors. The majority are non-executive directors, with at least one third of the Board made of independent directors. The Board is responsible for the overall corporate governance of Europtronic including setting its strategic directions, establishing goals for management and monitoring the achievement of its goals. Our Board members are:

Huang Shih-An	-	Chairman, Executive Director
Huang Chuang Shueh-Ou	-	Vice Chairman, Executive Director
Chen Wan Shou	-	Non-Executive Director
Chiu Jin Yi, Cheyne	-	Independent Non-Executive Director
Lim Lee Meng	-	Independent Non-Executive Director

Audit Committee (“AC”):
The AC meets regularly with Europtronic’s external auditors and its executive management to review accounting, auditing and financial reporting matters, so as to ensure that an effective control environment is in place. The AC’s other responsibilities include:

1.	To monitor proposed changes in accounting policies, review and discuss the accounting implications of major transactions.
2.	To advise the Board regarding the adequacy of Europtronic’s internal controls, contents and presentations of its reports.
3.	To investigate matters within its terms of reference.

AC members are:

Chen Wan Shou	-	Member

Nominating Committee (“NC”):
The NC’s functions are to develop and maintain a transparent and formal process for the appointment of new directors, the recommendations of directors who are due to retirement by rotation to seek re-election at annual general meetings, and the determination of each director and the Board as a whole. The NC members are:

Lim Lee Meng	-	Member
Chen Wan Shou	-	Member

Remuneration Committee (“RC”):
The RC reviews and approves recommendations on remuneration policies and packages for executive directors, CEO/Chairman, and employees who are related to directors and substantial shareholders. The RC members are:

Chen Wan Shou	-	Member
